Terms applicable to websites and booking systems

Version v1.0 · In force since 2026-08-30

This is an English translation provided for convenience. The Portuguese version of these terms is the legally binding one.

1. Identity of WebCastelo and scope of application

WebCastelo is a web and software development company based in Portugal, which designs websites, online stores, booking systems, web applications and custom software.

These terms apply to requests, proposals and projects for websites and booking systems submitted through the WebCastelo website, including requests submitted on campaign pages.

2. Personalized proposal and project specification

Each project is analyzed individually. After receiving the request, we analyze the intended scope, namely activities, locations, payments, users and automations.

The proposal presents the agreed scope, the phases, the estimated timeline and the price. Anything not described in the proposal is not part of the scope.

3. Acceptance of the proposal

The contract between the parties is formed upon express acceptance of the proposal by the client.

Acceptance of these terms on a campaign page corresponds only to a request for a proposal and does not, by itself, constitute an award of the project.

4. Initial payment of 20%

Unless otherwise stated in the proposal, the project starts with an initial payment corresponding to 20% of the agreed amount.

This amount confirms the award, reserves the team's capacity and is deducted from the total project value.

5. Direct payment and monthly payment plans

After the initial payment, the client may settle the remaining amount according to the agreed project phases or, where applicable, through a monthly plan.

The chosen method is recorded in the accepted proposal.

6. Plans of up to 12 monthly installments subject to approval

In eligible projects, the remaining amount may be split into monthly installments, up to a maximum of 12 installments.

Monthly plans are subject to prior approval, to the scope of the project and to the conditions stated in the proposal.

7. Invoicing and VAT

All amounts are shown excluding VAT, unless stated otherwise. VAT is applied at the legally applicable rate.

Invoices are issued in euros and sent by electronic means.

8. Start of the project

Development starts after acceptance of the proposal and successful collection of the initial payment.

9. Client responsibilities

The client provides in a timely manner texts, images, logos, information about activities, prices, availability and other necessary content.

The client guarantees that it holds the necessary rights over the content it provides.

10. Planning and delays

The stated timelines assume timely receipt of content, access and feedback.

Missing information from the client may result in a reasonable adjustment of the planning, communicated in writing.

11. Revision rounds and out of scope changes

The proposal indicates the included revision rounds.

Changes that go beyond the agreed scope are quoted separately and are only carried out after approval by the client.

12. External costs

Third party costs, namely domain, hosting, payment providers, SMS, WhatsApp Business, maps, translation or other external APIs, are not included unless expressly stated in the proposal.

13. Hosting, maintenance and WebCastelo Care

Hosting, technical maintenance and the WebCastelo Care service are separate services, with their own conditions and prices.

Contracting them is optional and is recorded in the proposal or in a specific contract.

14. Online payments and transaction costs

When the system integrates online payments, the contractual relationship regarding payment processing is established between the client and the payment provider.

The fees and transaction costs of that provider are the client's responsibility.

15. No commission per booking

WebCastelo does not charge any commission on bookings made through the system, unless otherwise expressly agreed in writing.

16. Booking and customer data

Booking data and end customer data belong to the client.

WebCastelo processes this data only to the extent necessary for the contracted development, maintenance and support.

17. GDPR, privacy and subcontracting

The parties comply with the General Data Protection Regulation.

When WebCastelo processes personal data on behalf of the client, a data processing agreement is entered into, setting out the purposes, categories of data and applicable measures.

18. Security, backups and technical measures

WebCastelo applies reasonable technical and organizational measures, appropriate to the type of project.

Backup and monitoring routines depend on the contracted hosting or maintenance plan.

19. Testing and acceptance

Before launch, the client has a period to test the website and the booking system.

Deviations from the agreed scope are reported during that period and corrected by WebCastelo.

20. Delivery and launch

Launch takes place after acceptance by the client and confirmation of the necessary configurations, namely domain, hosting and payment provider.

21. Intellectual property, licenses and technical transfer

Third party components and open source software retain their respective licenses.

WebCastelo may reuse generic technical knowledge, without any use of the client's content, data or brand.

22. Transfer after full payment

Upon full payment of the project, the usage rights over the website and the system developed specifically for the client transfer to the client, under the terms stated in the proposal.

23. Outstanding amounts

Invoices are paid within the deadline stated on the document.

24. Reminders and reasonable period to regularize

In case of delay, WebCastelo sends a reminder and grants a reasonable period to regularize the situation, followed by a written notice before any further measure.

25. Temporary suspension in case of continued non-payment

If, after the reminder, the regularization period and the notice, the payment remains outstanding, WebCastelo may temporarily suspend hosting, the website, the system or support.

No service is suspended without prior notice.

26. Reactivation

Services are reactivated after receipt of the outstanding payment, normally within one business day.

27. Retention of client data

Client data is not deleted due to a late payment.

Any deletion only occurs as part of a proper procedure, with prior notice and with the possibility of exporting the data.

28. Cancellation by the client

The client may cancel the project in writing, at any time.

29. Work already performed

In case of cancellation, the work already performed and the external expenses already incurred are invoiced, with the initial payment applied against that amount.

30. Warranty period

For 30 days after launch, errors that fall within the agreed scope are corrected at no additional cost.

New features, scope changes or failures caused by third party services are not considered errors.

31. New features and evolution

The system was designed to evolve. Additional features are subject to a new proposal.

32. Availability of external services

WebCastelo is not responsible for unavailability, policy changes or technical changes of third party services, namely payment providers, hosting, email or external APIs.

33. Reasonable limitation of liability

WebCastelo's liability is limited to direct damages and to the amount actually invoiced for the project concerned.

Indirect damages, namely loss of revenue, bookings or data, are not compensable, to the extent permitted by law.

Nothing in these terms excludes liability that cannot be excluded under Portuguese law.

34. Force majeure

Neither party is liable for non-performance resulting from circumstances beyond its reasonable control.

35. Amendment and versioning of the terms

These terms may be updated. Each version has a number and a date.

The version applicable to a project is the version accepted at the time of the request or of the acceptance of the proposal.

36. Applicable law and competent jurisdiction

Portuguese law applies.

For the resolution of disputes, the Portuguese courts of the district of WebCastelo's registered office have jurisdiction, without prejudice to the rights legally granted to consumers.
